Service
UPI Pay provides software tools for merchant connection management, payment-order creation, status verification, webhooks and related operational features. UPI Pay is a technology platform and does not hold or settle merchant funds. Regulated payment services are supplied by the applicable approved provider under its own onboarding and service terms.
Eligibility and account responsibilities
You must be legally capable of entering a contract, provide accurate business and account information, protect login and API credentials, and promptly notify us of suspected unauthorised access. Merchant payment capability may require separate KYC, risk review and approval by a payment infrastructure provider.
Payments and access
Subscription access begins only after server-side confirmation of a successful payment. Prices, duration and included usage are shown before checkout. Software subscription charges do not include provider transaction fees, settlement fees or commercial terms agreed separately with a payment provider. Our Refund and Cancellation Policy applies.
Acceptable use
You must follow our Acceptable Use Policy. We may restrict or suspend access where activity creates security, fraud, sanctions, regulatory or legal risk, or where a connected provider directs us to do so.
Payment status and settlement
Payment states depend on information received from the connected provider. You remain responsible for your customer relationships, fulfilment, refunds, taxes, disputes and reconciliation. Settlement timing and availability are controlled by your approved provider arrangement, not by UPI Pay.
Intellectual property and API access
UPI Pay and its software remain our property. We grant an active subscriber a limited, non-exclusive, revocable right to use the dashboard and API for its lawful internal business purposes. You may not resell provider access, reverse engineer the service, bypass limits or represent that you have regulatory approval through UPI Pay.
Availability and liability
We work to keep the service available, but payment networks, banks, provider systems and internet services may be unavailable. To the extent permitted by law, UPI Pay is not liable for indirect or consequential loss, and our aggregate liability is limited to the software subscription fees you paid during the three months preceding the event giving rise to the claim.
Termination and changes
You may stop using the service at any time. We may terminate or suspend access for breach, non-payment, unlawful activity or unacceptable risk. We may update these terms and will publish the revised effective date.
Governing law
These terms are governed by the laws of India. Courts with jurisdiction over the place from which UPI Pay is operated will have jurisdiction, subject to any mandatory consumer protection rights.
